1. Members of the Open Door Board shall not personally benefit as a result of their Board involvement except for reasonable compensation for services rendered. Board         members shall not be placed in a situation that allows them to act on the basis of financial self-interest. Nor, shall Board members place Open Door in a position that allows the Agency to favor Board members Financially to the detriment of others. 
     

  2. In the event that the Board considers an issue involving the financial relationship between the Agency and a member of the Board, the Board member will disclose to the Board the financial relationship that the particular Board member has, with respect to the issue. The Board member shall refrain from voting on the matter.   
     

  3. Board members who serve as an employee or volunteer in a decision making capacity on behalf of another organization or company which Open Door is working with or transacting business with, shall inform the Board president and the Executive Director as to their involvement in the said organization.
     

  4. It is expected that any Open Door Board member who serves on the Board of a similar organization (i.e., pre-school, daycare or child advocacy group, etc.) will keep information pertaining to Open Door confidential. Conversely, Open Door understands and expects that any information about said similar organization will also be kept in confidence by the dual Board member.  Should Open Door and a Open Door Board member sitting on the board of, or actively involved in the other organization will notify both the Open Door president and Executive Director as well as the Board President and Executive Director of the other organization of this member’s dual Board status. 
     

  5. The Conflict of Interest Policy as enumerated herein applies to a Board  Member’s immediate family as well as themselves.
     

  6. Staff and their current spouse or partner, if applicable, are restricted from serving as voting members of the Board. A former staff member is restricted from being a voting member for a period of one year from the last day of their employment as an Open Door Staff member.
     

  7. Staff shall not engage in any outside activity or employment which involves the direct or indirect use of information obtained as an Open Door employee which shall provide financial gain to him or herself or a member of his or her immediate family without the express consent of the Executive Director.  The Executive Director shall similarly not act without the express consent of The Board President.
